INTRODUCTION

Welcome to Oak, a meeting assistant solution provided by CreateCol Limited, based in Hong Kong. By using Oak, you agree to these Terms and Conditions ("T&C"). Please read them carefully before using the service. If you do not agree with any part of these T&C, you should not use Oak.

LICENSE GRANT

Oak grants you a non-exclusive, non-transferable, limited license to use the software solely for your internal business purposes, subject to compliance with these T&C.

Usage Restrictions

You agree not to:

Reverse-engineer, decompile, or disassemble the software.
Copy, distribute, or resell the software.
Use the software for any unlawful purposes or in violation of any applicable laws in Hong Kong or any other jurisdiction.

USER OBLIGATIONS

Compliance with Laws

You must use Oak in compliance with all applicable laws and regulations in Hong Kong and any other relevant jurisdictions.

Accurate Information

You agree to provide accurate and up-to-date information when registering or using Oak. Misrepresentation may result in the termination of your account.

INTELLECTUAL PROPERTY

Ownership

All intellectual property rights in Oak, including but not limited to the software, trademarks, and content, are owned by CreateCol Limited. No rights are transferred to you beyond the limited license to use the software.

Trademarks

You are prohibited from using Oak's trademarks, logos, or other intellectual property without prior written permission.

FEES AND PAYMENT

Payment Terms

If you subscribe to any paid version of Oak, you agree to pay all applicable fees according to the subscription plan selected. Payments are due in advance on the first day of each billing cycle.

Refund Policy

Refunds are available only in cases of accidental charges or other extenuating circumstances as determined by us in our sole discretion. Refund requests must be made within 14 days of the charge.

TERMINATION

Right to Terminate

We reserve the right to terminate or suspend your access to Oak at any time, without notice, for conduct that we believe violates these T&C or is harmful to other users or our business.

Effect of Termination

Upon termination, your access to Oak will be disabled, and any data you have stored in Oak may not be retrievable.

DISCLAIMERS AND WARRANTIES

No Warranties

Oak is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the software, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

By using this software, you acknowledge that it utilizes artificial intelligence technology which may produce errors or inaccuracies. The software is provided 'as is' without any warranties, express or implied.

To the maximum extent permitted by applicable law, in no event shall CreateCol Limited be liable for any damages, including but not limited to direct, indirect, special, incidental or consequential damages arising out of the use or inability to use the software, even if CreateCol Limited has been advised of the possibility of such damages. In any case, CreateCol Limited’s entire liability under any provision of these terms shall be limited to the amount actually paid by you for the software. If you are using a free trial version, CreateCol Limited’s liability is limited to the free tier.

User agrees to indemnify and hold CreateCol Limited harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of User's use of the Software.

Service Availability

We do not guarantee that Oak will be available at all times or that it will be free from errors or interruptions.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CreateCol Limited, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of Oak, your violation of these T&C, or your infringement of any intellectual property or other rights of any person or entity.

LIMITATION OF LIABILITY

Cap on Damages

Our liability to you shall not exceed the amount you paid to us for Oak in the twelve (12) months preceding the incident giving rise to the claim.

Exclusion of Certain Damages

We will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of Oak.

GOVERNING LAW AND JURISDICTION

These T&C are governed by and construed in accordance with the laws of Hong Kong. Any disputes arising out of or in connection with these T&C shall be subject to the exclusive jurisdiction of the courts of Hong Kong. In case of any discrepancies between the Chinese and English versions, the English version shall prevail.

AMENDMENTS

We reserve the right to modify these T&C at any time. We will notify you of any changes by posting the new T&C on our website. Your continued use of Oak after such modifications will constitute your acknowledgment of the modified T&C and agreement to abide by them.

PRIVACY POLICY

Please refer to our Privacy Policy for information on how we collect, use, and protect your personal data. By using Oak, you consent to our data practices as described in the Privacy Policy.

THIRD-PARTY SERVICES

Oak may integrate with third-party services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Use of third-party services is at your own risk.

MISCELLANEOUS

Entire Agreement

These T&C constitute the entire agreement between you and us regarding your use of Oak, superseding any prior agreements.

Severability

If any provision of these T&C is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these T&C shall be deemed a further or continuing waiver of such term or any other term.
